Zeloy — Terms of Service

PLEASE READ CAREFULLY
By accessing or using any part of the Zeloy website (https://zeloy.io and all sub‑domains) or the Zeloy server‑management platform (collectively, the “Services”), you (“you”, “Customer” or “User”) agree to be bound by these Terms of Service (“Terms”). If you do not accept every provision, you may not use the Services.
These Terms constitute a binding contract between you and Zeloy ., a company incorporated under the laws of [jurisdiction] with its registered address at [full address] (“Zeloy”, “we”, “our” or “us”). Replace the bracketed placeholders with your exact legal details before publishing.
1. Definitions

2. Acceptance & Revisions
- Contract formation. Your use of the Services constitutes acceptance of these Terms and of all policies incorporated by reference (Privacy Policy, Acceptable Use Policy, Service Level Agreement, etc.).
- Updates. We may amend the Terms at any time. If changes are material, we will post the updated version on the Website and update the “Last updated” date above. Your continued use after any revision takes effect signifies agreement to the revised Terms.
3. Eligibility
You must: (a) be at least 18 years old (or the legal age of majority where you live, if higher); (b) have the power to enter into a binding contract; (c) not be subject to any embargo, sanctions or export restriction that would bar use of the Services.
4. Account Registration & Security
- Accurate information. You must provide a valid e‑mail address, full legal name and any other information requested during sign‑up.
- Credentials. Keep your username, password and two‑factor authentication (“2FA”) codes confidential. You are responsible for all activity under your Account.
- Unauthorised access. Notify us immediately at [email protected] if you suspect unauthorised use.
- One Account rule. You may not maintain more than one Free Tier Account or create Accounts via bots, scripts or other automated methods.
5. Acceptable Use
You agree not to, and will not allow others to:
- use the Services for spam, phishing, malware, distributed denial‑of‑service attacks or other unlawful, offensive or fraudulent activity;
- infringe any third‑party intellectual‑property or privacy rights;
- upload or transmit viruses, worms or other malicious code;
- probe or test the vulnerability of any Zeloy system without prior written consent;
- use the Services in a way that could disable, overburden or impair Zeloy’s infrastructure.
A complete Acceptable Use Policy (“AUP”) is incorporated herein by reference.
6. Plans, Fees & Taxes
- Subscription model. Paid plans are billed monthly or annually in advance; prices are listed on the Website and are exclusive of applicable taxes.
- Payment method. You authorise Zeloy (through its payment processor) to charge your chosen payment method on each renewal date until you cancel.
- Price changes. Zeloy may change plan prices at any time. New prices become effective at the next billing cycle. If you disagree, you must cancel the plan before the renewal date.
- No refunds. Except where required by law or expressly stated in an SLA credit policy, all payments are non‑refundable.
- Taxes. You are responsible for all VAT, GST, sales tax or similar governmental assessments related to your purchases, except taxes on Zeloy’s net income.
7. Credits, Promotions & Gift Codes
Gift Credits are non‑transferable, hold no cash value, expire as stated in the promotion (or after 12 months if not specified) and may be redeemed only by the Account to which they were issued.
8. Free Tier & Trials
Zeloy may offer Free Tier plans or time‑limited trials. We may change, limit, suspend or discontinue any Free Tier or trial at any time without liability. If a paid subscription is required after a trial, billing will begin unless you cancel before the trial ends.
9. Beta & Experimental Features
Services labelled “Beta” are pre‑release, may be substantially modified or withdrawn, and are provided “as is” without any commitments regarding performance, uptime or data persistence. You use them at your own risk.
10. Third‑Party Server Providers
Zeloy supplies a control‑panel layer. Any infrastructure fees billed by cloud or hosting providers (e.g., AWS, Hetzner, DigitalOcean) are solely your responsibility. Zeloy is not liable for such third‑party charges.
11. Service Availability, Disclaimers & Warranty
- As‑is / As‑available. The Services are provided “AS IS” and “AS AVAILABLE” without any warranty—express, implied or statutory—including but not limited to warranties of merchantability, fitness for a particular purpose, non‑infringement or uninterrupted operation.
- No advice. Information obtained from Zeloy does not create any warranty not expressly stated in these Terms.
12. Limitation of Liability
To the maximum extent permitted by law:
- Indirect damages. Zeloy shall not be liable for indirect, incidental, special, consequential or punitive damages (including lost profits, revenue or data), even if advised of the possibility.
- Aggregate cap. Zeloy’s total liability for all claims in any twelve‑month period shall not exceed the greater of: (i) USD 100; or (ii) the total fees you paid to Zeloy for the Services in that same period.
Some jurisdictions do not allow certain exclusions; in such cases liability is limited to the fullest extent allowed by law.
13. Indemnification
You will defend, indemnify and hold harmless Zeloy, its affiliates, directors, employees and agents from any third‑party claim (including reasonable legal fees) arising out of or related to: (a) your Content; (b) your breach of these Terms or the AUP; or (c) your violation of any law or third‑party rights.
14. Suspension & Termination
- By Zeloy. We may suspend or terminate your Account (and delete Content) with or without notice if you:
- violate these Terms, the AUP or any law;
- fail to pay fees;
- create security, legal or reputational risk for Zeloy.
- By you. You may cancel at any time via the dashboard. Cancellation takes effect at the end of the then‑current billing period; no refund is due.
- Effect of termination. Your right to access the Services ceases immediately. Zeloy will delete or render inaccessible all Content within 30 days, except where legally required to retain it.
15. Back‑ups & Data Responsibility
You are solely responsible for safeguarding your data. Zeloy offers optional back‑up features that store copies in a storage location you control; configuring and securing that location is your responsibility. Zeloy is not liable for any data loss, corruption or recovery failure.
16. Privacy, Data Protection & Data‑Processing Roles
- Controller vs. Processor. For any personal data stored on servers you manage through Zeloy, you act as the data Controller and Zeloy acts as a data Processor under the GDPR. Zeloy processes such data only on your documented instructions and implements appropriate technical and organisational measures.
- DPA. A separate Data‑Processing Addendum (“DPA”) is available and incorporated by reference for EEA‑ and UK‑based customers.
- Privacy Policy. Zeloy’s Privacy Policy explains how we collect, use and protect personal data and forms part of these Terms.
17. Assignment
Zeloy may assign or transfer this Agreement, in whole or in part, without your consent, to an affiliate or in connection with a merger, acquisition or sale of assets. You may not assign your rights or obligations without Zeloy’s prior written consent, and any attempted assignment is void.
18. Notifications & Electronic Communications
Zeloy’s primary e‑mail address for important notices is [email protected]. You must keep your Account e‑mail current; notices sent to that address are deemed delivered. Formal legal notices must also be sent to [email protected] and to the postal address in Section 23.
19. Changes to the Services
We may modify or discontinue any feature, component or function of the Services at any time. If a change materially reduces core functionality of a paid plan, your sole remedy is to cancel that plan and, if applicable, request an SLA credit in accordance with the Service Level Agreement.
20. Entire Agreement; Severability; No Waiver
These Terms (including linked policies) constitute the entire agreement between you and Zeloy regarding the Services, superseding all prior agreements. If any provision is held unenforceable, the rest remain in full force and effect; a court shall modify the invalid clause only to the minimum extent necessary. Zeloy’s failure to enforce any right is not a waiver of future enforcement.
21. Force Majeure
Zeloy is not liable for any delay or failure to perform resulting from causes beyond its reasonable control (e.g., natural disasters, war, terrorism, labour disputes, utility failures, Internet outages, governmental actions).
